These Terms of Service ("Terms") govern your access to and use of the AI Booking Agent service (the "Service") provided by AI Booking Agent, a DBA of Losee Productions LLC, a California single-member LLC ("Provider," "we," "us"). By engaging our Services, you ("Client") agree to these Terms.
Provider will deploy and manage a Zero-Lag AI Response Agent for Client's business — engaging, qualifying, and booking inbound leads 24/7 across Client's designated channels. Specific channel integrations and configuration details are set out in the signed Service Agreement.
Client shall pay a one-time setup fee of $1,000 upon execution, plus the applicable monthly retainer ($997/month flat or $497/month + $50 per booked appointment). Invoices are due within 7 days. Late payments accrue interest at 1.5%/month. Provider may suspend the Service if payment is more than 15 days past due. The setup fee is non-refundable once onboarding has commenced.
This agreement is month-to-month from the date of first payment. Either party may terminate with 30 days written notice. Provider may terminate immediately for non-payment or material breach. Upon termination, Client pays all amounts owed through the termination date.
Provider targets an AI response time under 60 seconds for inbound leads. Provider does not guarantee any specific number of booked appointments, conversion rates, or revenue outcomes. Results depend on Client's lead volume, industry, offer quality, calendar availability, and other factors outside Provider's control.
Client shall: (a) provide access to lead intake channels required for integration; (b) maintain an active calendar with real availability; (c) honor booked appointments and respond to escalated leads within 2 business hours; (d) not use the Service for any purpose that violates applicable law or Provider's Ethical Exclusion Policy (no military, firearms, drugs, adult entertainment, gambling, payday lending, or similar industries).
Provider retains all right, title, and interest in the AI agent infrastructure, prompt engineering, automation workflows, and proprietary systems. Client receives a limited, non-exclusive license to use the Service during the term only. No IP transfers to Client upon termination.
Each Party shall protect the other's Confidential Information with reasonable care for 3 years post-termination. Client lead data and conversation logs are Client's confidential information. Provider's systems, pricing, and methodology are Provider's confidential information.
Provider will process lead data solely to provide the Services. Client is responsible for ensuring its lead capture practices comply with applicable privacy laws (TCPA, CAN-SPAM, CCPA, etc.). Provider is not liable for Client's failure to obtain proper consent from leads.
Provider's total aggregate liability shall not exceed three months of fees paid under this agreement. In no event shall provider be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, even if advised of the possibility of such damages.
These Terms are governed by California law. Any unresolved dispute shall be resolved by binding arbitration via JAMS or AAA, seated in Orange County, CA, before a single arbitrator. The prevailing party recovers attorneys' fees. All disputes must be arbitrated individually — no class actions.
Provider is an independent contractor. Client may not assign this agreement without Provider's consent. Electronic signatures are valid and binding. These Terms, together with the signed Service Agreement, constitute the entire agreement between the Parties.
